Terms of Service

These Terms of Service (“Terms”) cover your use of UCSTAK’s Managed Voice, AI Solutions, and consulting services. By signing a service agreement or using our platform, your business agrees to these Terms.
Our Services
UCSTAK provides managed business phone systems, contact center features, and private AI modules. We deliver and support them as described in your order form and on this site. Over time, we may add, change, or retire individual features. That said, we’ll give active clients reasonable notice before removing anything you rely on.
Term Lengths & Service Levels
Managed Voice seats run on a 36-month term or a flexible month-to-month (M2M) basis, as your order form sets out. AI Modules bill monthly on top of your base seats. Meanwhile, support levels, response times, and service credits follow your chosen Support tier — Standard SPOC, VIP Managed Helpdesk, or Flow Optimization Retainer. The Discovery Audit
Before we start a new implementation, we require a paid Discovery Audit. This maps your current phone system, call flows, and integration needs. Half of the audit fee then credits toward a subsequent 36-month contract. For details on what it covers, see our Workflow Audit page.
Fees & Payment
We bill fees in the currency and on the schedule stated in your order form. If a payment runs late, we may pause service after giving reasonable notice. You’re responsible for any taxes not already included in your invoice.
Acceptable Use
You agree not to use UCSTAK services for unlawful robocalling, spam, or fraud. Likewise, you agree not to violate Canadian telecommunications rules, including CRTC regulations and the Unsolicited Telecommunications Rules. Finally, you agree not to disrupt, reverse-engineer, or resell our platform without our written permission.
Emergency Calling (E911) Limitations
Our platform supports E911 for remote, hot-desk, and field workers, and we work hard to keep registered emergency locations accurate. Even so, VoIP-based 911 calling depends on your internet connection, your power supply, and an accurate location on file. For that reason, make sure your team updates its registered location whenever someone works from a new address, and keep a backup way to reach emergency services during an outage.
Your Responsibilities
You’re responsible for keeping account credentials secure and configuring role-based access properly for your team. You’re also responsible for following call recording consent laws in the jurisdictions where you operate, and for the accuracy of the information you give us, including billing and emergency location details.
Intellectual Property
UCSTAK owns the platform, software, and related intellectual property. You keep ownership of your own business data, call recordings, and content that runs through our platform. We only use that data to deliver, support, and improve your service, as our Privacy Policy describes.
Confidentiality
Both sides agree to keep the other’s confidential business information private. Specifically, each side agrees to use it only to fulfill this agreement, unless the law requires disclosure.
Term, Renewal & Termination
Your agreement runs for the term your order form states. Afterward, 36-month contracts continue on a month-to-month basis unless either side gives written notice. We may suspend or end service for non-payment or a material breach of these Terms, but only after giving you a reasonable chance to fix the issue first.
Warranties & Limitation of Liability
We provide our services with reasonable care and skill, consistent with the Support tier in your agreement. UCSTAK’s liability for a service interruption is limited to the fees you paid for the affected service in the preceding month. Neither side is liable for indirect or consequential damages arising from this agreement.
Governing Law
The laws of the Province of Ontario, and the federal laws of Canada that apply there, govern these Terms.
Changes to These Terms
We may update these Terms from time to time. When we do, we’ll post the current version here, and we’ll tell active clients about material changes before they take effect.
